End User License Agreement

The terms that govern use of ClientSwing software, portals, digital content, and automation tools.

This EULA applies only to ClientSwing software, portals, digital content, and automation tools. It does not replace a signed services agreement.

01 License Grant

This End User License Agreement ("EULA") governs ClientSwing software, portals, templates, digital content, automations, and related features made available through Whop or otherwise by ClientSwing LLC (the "Software"). Subject to payment and compliance with this EULA, ClientSwing grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Software solely for your own internal business use during an active subscription or other authorized access period.

02 Ownership

The Software, documentation, content, designs, workflows, code, trademarks, and all related intellectual-property rights belong to ClientSwing or its licensors. The Software is licensed, not sold. No right is granted except as expressly stated in this EULA.

03 Restrictions

You may not copy, modify, distribute, sell, lease, sublicense, publish, scrape, reverse engineer, decompile, attempt to discover source code, remove proprietary notices, bypass access controls, create derivative works from, or use the Software to create a competing product. You may not share credentials or permit unauthorized users to access the Software.

04 Account and Data Responsibilities

You are responsible for all activity under your account and for the accuracy, legality, permissions, and consents associated with any data you upload or connect to the Software. Do not use the Software to send unlawful, deceptive, or non-consensual communications.

05 Updates, Availability, and Third Parties

We may update, modify, suspend, or discontinue features at any time. The Software may integrate with third-party services, which are subject to their own terms. We do not guarantee uninterrupted, error-free, or compatible operation of the Software or third-party services.

06 Termination

This license ends automatically if you violate this EULA or if your paid access ends. We may suspend or terminate access where reasonably necessary to protect the Software, comply with law, or address misuse. On termination, you must stop using the Software and delete copies of downloadable materials, except where retention is required by law.

07 Disclaimers and Liability

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENTSWING DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLIENTSWING IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.

08 Governing Law

This EULA is governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. The courts located in Wyoming have exclusive jurisdiction over disputes, unless applicable law requires otherwise.
